ACTi Terms of Service - Athena

1. Welcome

These Terms of Service (“Terms”) are an agreement between You and Actualized Intelligence, LLC (“ACTi,” “we,” “us”), the company that provides Athena, powered by the Unblinded Formula.

Athena is an AI-powered being that helps you actualize your outcomes — supporting your coaching, learning, and growth. These Terms explain the rules for using Athena, whether you access her for free or as a paid customer. By creating an account or using Athena, you agree to these Terms. If you do not agree, please do not use Athena.

Please also read our Privacy Notice, which explains how we handle your information. These Terms cover your use of Athena; the Privacy Notice covers your data. Together they govern your relationship with us.

2. Who Can Use Athena

If you are using Athena on behalf of a company or organization, you confirm that you have the authority to accept these Terms for that organization.

3. Free and Paid Access

Athena is available in two ways:

  • Free access — We may offer Athena, or certain features of Athena, at no cost. Free access may be limited, changed, or discontinued at any time.
  • Paid access — Some features or levels of Athena require payment, offered as a one-time purchase, a subscription, or both, as described at the point of purchase.

The specific features, price, and billing terms that apply to you are shown when you sign up or purchase. Details of current plans and pricing are available on our pricing page at joinathena.acti.ai/pricing.

3.1. Billing and Renewal

If you purchase a subscription, you authorize us to charge your payment method on a recurring basis — monthly or annually, depending on the plan you choose — until you cancel. If you make a one-time purchase, you authorize a single charge for the access described at checkout.

You are responsible for keeping your payment information current. If a payment fails, we may suspend or limit your paid access until payment is resolved.

3.2. Cancellation

You may cancel a subscription at any time. When you cancel, your paid access continues until the end of the current billing period, and it will not renew after that. Cancelling does not, by itself, entitle you to a refund except as described below.

3.3. Immersion Event (Annual Plan Only)

Annual members receive a reserved seat at the Integrous Influence Mastery Immersion (October 22–24, 2026, Park Ridge, NJ).

  • Travel and accommodations are not included.
  • Seat is non-transferable and holds no cash value.
  • Event details subject to reasonable change.

4. Refunds

If you purchase paid access to Athena, you may request a full refund within three (3) days of your purchase by contacting us at info@acti.ai. After the 3-day window has passed, payments are non-refundable except where a refund is required by law.

For subscriptions, the 3-day refund window applies to your initial purchase; renewal charges are non-refundable once the renewal period begins.

5. Using Athena Responsibly

Athena is provided for your lawful, personal, or business use. When you use Athena, you agree that you will not:

  • Use Athena for any unlawful, harmful, deceptive, or abusive purpose;
  • Attempt to disrupt, damage, reverse-engineer, or gain unauthorized access to Athena or our systems;
  • Use Athena to generate or distribute content that is illegal, harassing, or infringes someone else’s rights;
  • Share your account credentials or resell your access without our permission; or
  • Misrepresent Athena’s responses as professional advice where a qualified professional is required (see below).
  • Submit protected health information (“PHI”), confidential information, or privileged information to a public Athena marketing call or demo. A service is appropriate for PHI only if ACTi expressly designates that specific service for PHI and confirms that the required agreements and technical configurations are in place.

We may suspend or terminate your access if you violate these Terms or use Athena in a way that harms us, other users, or third parties.

6. What Athena Is — and Is Not

Athena is an AI-powered tool designed to support and help actualize your outcomes. Athena’s responses are generated by artificial intelligence and are provided for general informational and developmental purposes.

Athena is not a substitute for professional advice — including legal, medical, financial, or mental-health advice — and does not create any professional relationship. You remain responsible for the decisions you make and the actions you take. Where an important decision is involved, please consult a qualified professional.

7. Your Content

You may provide inputs to Athena — text, prompts, documents, or other materials (“Your Content”). You keep ownership of Your Content. You grant us permission to use Your Content only as needed to provide Athena to you and as described in our Privacy Notice. You are responsible for ensuring you have the right to share anything you submit.

8. Our Content and Intellectual Property

“Intellectual Property” (IP) as used herein, includes patents, trademarks, trade secrets, copyrights, and know-how. Athena, the Unblinded Formula, and all related software, models, systems, features, workflows, content, branding, documentation, know-how, and other intellectual property are owned by ACTi or its licensors, including SJA TD Holdings LLC d/b/a Unblinded. Except for the limited right to use Athena as permitted by these Terms, these Terms do not give you any ownership interest in Athena or ACTi’s intellectual property.

You retain ownership of Your Content, including text, prompts, documents, materials, ideas, methods, information, or other content that you submit to Athena, subject to the license granted to ACTi in these Terms and as described in our Privacy Notice. ACTi does not claim ownership of Your Content merely because you submit it to Athena.

As between you and ACTi, you may use outputs generated by Athena for your personal or business purposes, subject to these Terms, applicable law, third-party rights, and ACTi’s rights in Athena and its underlying technology. You are responsible for reviewing outputs before relying on them.

If you provide ACTi with feedback, suggestions, ideas, recommendations, requests, or other information about Athena or ACTi’s products or services, you grant ACTi a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, create derivative works from, distribute, display, perform, commercialize, and otherwise exploit that feedback for any purpose without restriction, attribution, or compensation to you. Feedback does not include Your Content unless you separately provide that content to ACTi as feedback.

You recognize and acknowledge that any and all technology developed in whole or in part by You in connection with this Agreement is the exclusive property of ACTi. “Technology” includes any improvements to Athena that You make, suggest, or communicate to Acti. If You utilize your own proprietary software programs, program code, information, methodologies, ideas, concepts, techniques, intellectual property, such as trade secrets or other expertise (“Your Property”), You shall at all times retain all ownership rights in and to Your Property. However, upon delivery of the technology to ACTi, You grant ACTi a fully paid, royalty-free, nonexclusive, worldwide, perpetual, and freely assignable license to use the specific technology incorporated into the delivered Technology. To the extent that any Technology created under this Agreement is entitled to protection under copyright law, You acknowledge and agree that Acti (a) specially ordered and commissioned the Technology as a contribution to a collective work, as part of a motion picture or other audiovisual work, as a supplementary work, as a compilation, or as other such category of work as may be eligible for treatment as a “work made for hire” under U.S. copyright law; (b) the technology will be deemed a “work made for hire” to the greatest extent permitted by law; and (c) Acti will be the sole author of the technology pursuant to the U.S. Copyright Act (and/or any other relevant laws). To the extent a technology that may be entitled to protection under U.S. copyright law is not properly characterized as a “work made for hire,” then You hereby irrevocably grant, transfer, and assign to Acti all rights, title, and interest in and to the Project(s), including but not limited to any copyrights therein, including any renewals and extensions, the right to sue and recover for past, present, and future infringement, and the right to register the copyrights in Acti’s name. To the extent the technology may also be protected under patent, trademark, trade secret, or other intellectual-property laws, You also hereby grant, transfer, and assign to Acti all right, title, and interest in and to the patent, trademark, trade secret, or other intellectual property right in such materials. You agree to execute any additional documents Acti deems necessary or desirable to give effect to the assignment or transfer.

You represent and warrant that you have all rights necessary to submit Your Content and any feedback, and that Your Content and feedback do not violate any law, confidentiality obligation, or third-party intellectual property, privacy, publicity, or other rights. You must not submit confidential, proprietary, or third-party materials unless you have authority to do so.

You agree to indemnify, defend, and hold harmless ACTi and its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to Your Content, feedback, your violation of these Terms, or any allegation that materials you submitted infringe, misappropriate, or violate the rights of any third party.

You may use Athena only as permitted by these Terms. You may not copy, modify, reverse engineer, scrape, harvest, extract, benchmark, publish non-public performance information about, or use Athena or its outputs to develop or train a competing product or service, except to the extent such restrictions are prohibited by applicable law.

9. Service Availability and Changes

We work to keep Athena available and reliable, but we do not guarantee that it will always be uninterrupted or error-free. We may update, improve, change, or discontinue features of Athena at any time. If we make a material change that affects paid access you have already purchased, we will act reasonably and consistently with these Terms and applicable law.

10. Disclaimers

Athena is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Athena will meet every expectation or produce any particular result.

11. Limitation of Liability

To the fullest extent permitted by law, ACTi and its affiliates will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, data, or goodwill, arising from your use of Athena. Our total liability for any claim relating to Athena will not exceed the greater of the amount you paid us for Athena in the three (3) months before the claim, or twenty-five U.S. dollars ($25).

12. Termination

You may stop using Athena at any time. We may suspend or terminate your access if you breach these Terms, misuse Athena, or where required by law. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and dispute terms — will continue to apply after your access ends.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law rules. Any dispute relating to these Terms or to Athena will be handled in the state or federal courts located in New Jersey, and you agree to that jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through Athena, our website, or by other appropriate means. If you continue to use Athena after the changes take effect, you accept the updated Terms.
